Terms and Conditions of Sale

These general terms and conditions of sale (hereinafter 'T&Cs') govern all orders placed with Deltopide for the provision of digital services. By placing an order, the client expressly acknowledges having read and accepted these T&Cs without restriction or reservation.
Article 1 - Scope
These T&Cs apply to all digital services provided by Deltopide, including but not limited to web development, mobile application development, artificial intelligence solutions, and custom software development. These T&Cs constitute the sole legal basis of the contractual relationship between the parties.
Article 2 - Acceptance of T&Cs
Any order placed with Deltopide implies full acceptance without reservation of these T&Cs. These T&Cs take precedence over any other document, including the client's general terms of purchase, unless expressly agreed otherwise in writing.
Article 3 - Services Offered
Deltopide offers the following digital services:
- •Custom Web Development: Design and development of showcase websites, e-commerce platforms, and complex web applications
- •Mobile Development: Creation of native or hybrid iOS and Android mobile applications
- •Artificial Intelligence Solutions: Implementation of AI systems, machine learning, and intelligent chatbots
- •Custom ERP/CRM: Design and development of tailored management solutions
The precise specifications of each service are defined in a personalized quote and technical specifications document.
Article 4 - Pricing
Prices are expressed in Euros (€) excluding taxes. Applicable VAT and any other mandatory taxes will be added to the stated price. Prices are valid as of the date indicated on the quote.
Deltopide reserves the right to modify its prices at any time. However, prices applicable to the client are those stated in the quote accepted by the client.
Quotes are valid for 30 days from their issue date. Beyond this period, Deltopide reserves the right to revise the prices stated.
Article 5 - Orders and Contractual Commitment
Any order is finalized through the following process:
Order Process:
- Client request via contact form or email
- Establishment of a personalized quote by Deltopide
- Written acceptance of the quote by the client (email or signed document)
- Payment of the deposit (if applicable) to confirm the order
The order becomes final upon receipt of the client's written acceptance and any agreed deposit payment. The contract is deemed concluded at the time of acceptance confirmation by Deltopide.
Article 6 - Payment Terms
Accepted payment methods are:
- •Bank transfer
- •Credit card payment (via secure payment system)
- •PayPal
Payment terms are specified in the quote. Generally, a deposit of 30-50% is required upon order confirmation, with the balance due upon project delivery. For subscription services, payment is due at the beginning of each billing period. Any delay in payment may result in suspension of services and late payment penalties equal to three times the legal interest rate.
Article 7 - Delivery Timeframes
Delivery timeframes are indicated in the quote and technical specifications. These are estimates provided for information purposes only and may vary depending on project complexity and client responsiveness.
Deltopide will make every effort to meet agreed deadlines. However, any delay cannot give rise to damages, penalties, or order cancellation unless expressly agreed otherwise in the contract.
Article 8 - Warranties
Deltopide guarantees that delivered services comply with specifications defined in the quote and technical documentation. A warranty period of 3 months from delivery is offered to correct any bugs or malfunctions at no additional cost.
This warranty does not cover issues arising from improper use, unauthorized modifications by the client or third parties, or failures resulting from external factors beyond Deltopide's control.
Article 9 - Limitation of Liability
Deltopide's liability is limited to direct damages proven by the client and cannot exceed the total amount paid by the client for the service in question.
Deltopide cannot be held liable for indirect damages such as loss of profits, business loss, revenue loss, third-party claims, or any consequential damage. The client acknowledges being solely responsible for the use made of delivered services.
Article 10 - Intellectual Property
All intellectual property rights related to deliverables (source code, designs, documentation, etc.) remain Deltopide's property until full payment of the service price.
Upon full payment, Deltopide transfers to the client usage rights to deliverables exclusively for the client's internal activities as defined in the specifications. This transfer does not include the right to modify, reproduce for third parties, or resell the services without Deltopide's written authorization.
Source code and technical documentation remain Deltopide's property unless otherwise agreed in the contract. The client obtains only a non-exclusive and non-transferable usage license.
Article 11 - Modifications and Changes
Any modification to services requested by the client after order validation must be the subject of a new written quote. These modifications may result in additional charges and adjustments to initially planned delivery times.
Article 12 - Right of Withdrawal
Important:
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to fully executed services before the end of the withdrawal period with the consumer's express prior agreement and acknowledgment that they will lose their right of withdrawal once the service is fully performed.
For services already started with the client's express agreement, the right of withdrawal cannot be exercised. Any advance payment for started services remains due to Deltopide.
Article 13 - Termination
In case of breach by one party of any of its essential obligations under these T&Cs, the contract may be terminated by right by the other party 15 days after sending a formal notice by registered letter with acknowledgment of receipt that has remained unsuccessful.
In case of termination attributable to the client, all sums already paid to Deltopide remain acquired as compensation, in addition to damages that may be claimed.
Article 14 - Dispute Resolution
In case of dispute, the parties undertake to seek an amicable solution before any legal action. Failing this, disputes will be submitted to the competent courts.
If the client is a consumer within the meaning of the Consumer Code, they may use the European online dispute resolution platform accessible at: https://ec.europa.eu/consumers/odr/
Consumer Mediation:
Consumers may also refer the dispute to an approved consumer mediator.
Article 15 - Applicable Law and Jurisdiction
These T&Cs are governed by French law. In case of dispute and in the absence of amicable resolution, jurisdiction is attributed to the competent courts under common law.
